Terms of Service

1. Acceptance of Terms

By accessing or using the Angel Intelligence platform ("Service"), operated by Angel Intelligence LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including law firm administrators, staff members, and any authorized personnel accessing the platform.

2. Description of Service

Angel Intelligence is an AI-powered case management platform designed for personal injury law firms. The Service provides case tracking, document management, automated workflows, AI-assisted communications, medical records management, and related legal technology tools. The Service is intended to assist legal professionals and does not constitute legal advice.

3. User Accounts and Access

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Permitted Use

You may use the Service solely for lawful purposes related to the management of personal injury cases within your law firm. You agree not to: (a) use the Service for any illegal purpose; (b) attempt to gain unauthorized access to any portion of the Service; (c) interfere with or disrupt the Service; (d) reverse engineer, decompile, or disassemble any portion of the Service; (e) use the Service to store or transmit malicious code; or (f) share your account credentials with unauthorized third parties.

5. Data Ownership and Intellectual Property

You retain all ownership rights to your data, including case files, client information, documents, and communications uploaded to or generated within the Service ("Your Data"). We do not claim ownership of Your Data. We are granted a limited license to process Your Data solely for the purpose of providing the Service. All intellectual property rights in the Service itself, including software, algorithms, AI models, user interface designs, and documentation, remain the exclusive property of Angel Intelligence LLC.

6. AI-Generated Content Disclaimer

The Service utilizes artificial intelligence to assist with case analysis, document drafting, communications, and workflow automation. AI-generated content is provided as a tool to assist legal professionals and should not be relied upon as legal advice. You are solely responsible for reviewing, verifying, and approving all AI-generated outputs before use. We do not guarantee the accuracy, completeness, or legal sufficiency of any AI-generated content.

7. HIPAA Compliance and Protected Health Information

The Service is designed to handle Protected Health Information (PHI) in compliance with the Health Insurance Portability and Accountability Act (HIPAA). Use of the Service for PHI requires execution of a separate Business Associate Agreement (BAA). Without a signed BAA, you may not upload, store, or process PHI through the Service. We implement administrative, physical, and technical safeguards to protect PHI in accordance with the HIPAA Security Rule.

8. Subscription and Payment

Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis as selected during enrollment. All fees are non-refundable except as required by law or as expressly stated in a separate written agreement. We reserve the right to modify pricing with 30 days' advance notice. Failure to pay may result in suspension or termination of access.

9. Service Availability and Support

We strive to maintain 99.9% uptime for the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. Support is available via email at [email protected]. We are not liable for any damages resulting from service interruptions, including scheduled or unscheduled downtime.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANGEL INTELLIGENCE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Angel Intelligence LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you upload to the Service.

12. Termination

Either party may terminate this agreement with 30 days' written notice. We may immediately terminate or suspend your access if you violate these Terms. Upon termination, you will have 30 days to export Your Data. After the export period, we will delete Your Data in accordance with our data retention policy, except as required by law or as necessary to fulfill our obligations under any applicable BAA.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be subject to good-faith mediation. If mediation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Atlanta, Georgia.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.
